Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Unifysy platform, including the admin dashboard, employee portals, APIs, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. Unifysy provides a multi-tenant corporate HR and benefits administration platform. Each corporate entity ("Tenant") operates within an isolated environment managed by authorized administrators.

2. Eligibility & Account Registration

The Platform is available to corporate entities and their authorized administrators, HR teams, and employees. By registering, you represent that: • You are authorized to act on behalf of your organization. • The information you provide during onboarding is accurate and current. • You will maintain the confidentiality of your account credentials. Each Tenant is provisioned with dedicated admin accounts. Administrators are responsible for managing user access within their organization through the Platform's role-based access control system.

3. Platform Services

Unifysy offers the following categories of services, which may vary by subscription plan: • Corporate Management — Tenant setup, organizational hierarchies, grade structures. • Benefits Administration — Plan design, eligibility rules, enrollment management, flex credits, and corporate storefronts. • Employee Portal — Self-service enrollment, dependent management, wallet balance, claims submission. • Claims Processing — Document upload, validation workflows, approval routing, and settlement tracking. • Communications — Mailbox, email campaigns, surveys, and announcements. • AI-powered Tools — Document drafting, benefit studio, chatbot, and analytics. • RBAC & Security — Role-based permissions, audit logging, and data isolation. • Hospital Network & Wellness — Provider directories, wellness programs, and health assessments.

4. Acceptable Use

You agree not to: • Use the Platform for any unlawful purpose or in violation of any applicable laws. • Attempt to gain unauthorized access to other Tenant environments or admin accounts. • Upload malicious files, scripts, or content through claims submissions, mailbox, or document features. • Reverse-engineer, decompile, or attempt to extract the source code of the Platform. • Interfere with or disrupt the integrity or performance of the Platform or its infrastructure. • Scrape, harvest, or collect data from the Platform beyond your authorized Tenant scope. • Resell, sublicense, or redistribute access to the Platform without prior written consent.

5. Data Ownership & Privacy

• Tenant Data: All data uploaded or generated within a Tenant environment ("Tenant Data") remains the property of the respective corporate entity. Unifysy processes Tenant Data solely to provide the Platform services. • Data Isolation: Each Tenant's data is logically isolated. Row Level Security (RLS) policies enforce strict data separation at the database level. • Personal Information: Employee personal data (names, dependents, health information) is handled in accordance with our Privacy Policy. We do not sell personal data to third parties. • Data Portability: Tenants may request an export of their data in standard formats at any time. • Retention: Upon Tenant offboarding, data is retained for 90 days before permanent deletion, unless a longer retention period is required by applicable law.

6. Subscription & Payment

• Pricing is determined by the subscription plan selected during onboarding and the number of covered employees. • Payment terms, billing cycles, and any applicable taxes will be set forth in the Order Form or Service Agreement executed between Unifysy and the Tenant. • Late payments may result in temporary suspension of Platform access after a 15-day grace period and written notice. • All fees are non-refundable except where expressly stated or required by applicable law.

7. Service Availability

• Unifysy aims to maintain high availability of the Platform. Current infrastructure status is published at unifysy.com/status. • Scheduled maintenance windows will be communicated to administrators in advance via email or in-platform notification. • Unifysy is not liable for downtime caused by third-party infrastructure providers (Vercel, Railway, Supabase), force majeure events, or factors outside our reasonable control.

8. Intellectual Property

• The Platform, including its design, code, AI models, user interface, documentation, and branding, is the intellectual property of Unifysy. • Tenants are granted a limited, non-exclusive, non-transferable license to use the Platform for the duration of their subscription. • Feedback, feature requests, or suggestions submitted to Unifysy may be used to improve the Platform without obligation or compensation.

9. Limitation of Liability

To the maximum extent permitted by law: • Unifysy shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of the Platform. • Our total aggregate liability for any claim arising from these Terms shall not exceed the total fees paid by the Tenant in the 12 months preceding the claim. • Unifysy does not guarantee that AI-generated content (benefit plan suggestions, drafted documents, chatbot responses) is error-free and recommends human review for all critical decisions.

10. Termination

• Either party may terminate the subscription with 30 days' written notice. • Unifysy may suspend or terminate access immediately if a Tenant materially breaches these Terms. • Upon termination, Tenant administrators will have a 30-day window to export their data before environment decommissioning begins.

11. Changes to These Terms

Unifysy reserves the right to update these Terms at any time. Material changes will be communicated to Tenant administrators via email at least 30 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which the Tenant's corporate entity is registered, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through good-faith negotiation before pursuing arbitration or litigation.
